1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you and TrustReview Technologies Ltd. ("TrustReview", "we", "us", or "our") and govern your access to and use of the TrustReview identity-verification platform, including our website at trustreview.ai, APIs, hosted verification flows, dashboards, documentation, and related services (together, the "Services").

By creating an account, accessing, or using the Services — or by clicking to accept these Terms — you agree to be bound by them. If you are entering into these Terms on behalf of a company or other legal entity (a "Customer"), you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, you must not use the Services.

If you and TrustReview have signed a separate written master agreement or order form for the Services, that agreement controls to the extent it conflicts with these Terms. These Terms incorporate our Privacy Policy, our Data Processing Addendum (DPA), and our Cookie Policy by reference.

2. Definitions

  • "Customer Data" means data, including personal data, that you or your End Users submit to or generate through the Services, including identity documents, biometric media, and screening inputs.
  • "End User" means an individual whose identity you verify using the Services.
  • "Verification" means a single identity-verification transaction processed through the Services, which may include document verification, biometric liveness/face-match, and/or AML/PEP/sanctions screening as configured by you.
  • "Annual Unlimited Plan" means the paid subscription described in Section 6.
  • "Documentation" means our official user guides, API references, and policies made available with the Services.
  • "Controller", "Processor", "Personal Data", and "Process" have the meanings given in applicable data-protection law and our DPA.

3. Eligibility & accounts

To use the Services, you must be at least 18 years old, capable of forming a binding contract, and not barred from using the Services under applicable law. The Services are intended for business and professional use, not for personal, household, or consumer use.

You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for safeguarding your account credentials and API keys, for all activity that occurs under your account, and for ensuring that each person who accesses your account is authorised to do so and complies with these Terms. You must notify us promptly at [email protected] of any unauthorised use or suspected security breach. We strongly recommend enabling multi-factor authentication.

4. The service

TrustReview provides an AI-powered identity-verification platform that helps you confirm the identity of your End Users and meet your KYC/AML obligations. Depending on the checks you enable, the Services may:

  • Verify identity documents — authenticate government-issued IDs such as passports, driver's licences, and national ID cards, and extract the data they contain.
  • Perform biometric liveness and face-match — confirm that a live human is present and compare the live face to the photo on the document.
  • Run AML/PEP/sanctions screening — check End User identifiers against sanctions lists, politically-exposed-person registers, and adverse-media sources.

The Services return results — typically a decision and confidence scores — via our dashboard and APIs for you to use in your own onboarding and compliance workflows. We may update, enhance, or modify the Services and Documentation over time; we will not materially reduce the core functionality of a paid plan during its term without notice.

5. Free tier & the one free verification

We offer a free tier so you can evaluate the Services before committing.

The free plan includes exactly one (1) identity Verification, with no credit card required. After that single Verification is used, continued use of the Services requires an active Annual Unlimited Plan.

The free Verification is provided for evaluation purposes, is non-transferable, and is limited to one per Customer and organisation. We may decline to provide, or may revoke, a free Verification if we reasonably believe the free tier is being abused (for example, through multiple or fragmented sign-ups intended to obtain additional free Verifications). The free tier is provided "as is", may exclude certain features, and carries no service-level commitment. We may modify or discontinue the free tier at any time.

6. Plans, fees & billing

Continued, production use of the Services beyond the single free Verification requires the Annual Unlimited Plan.

6.1 Pricing

The Annual Unlimited Plan is priced at US$29,000 per year, billed annually in advance, and includes unlimited Verifications during the subscription term, subject to these Terms and any fair-use or anti-abuse provisions. The Annual Unlimited Plan is activated by contacting our sales team; please reach out via our contact page or speak with sales to be onboarded and invoiced.

6.2 Taxes

Fees are exclusive of taxes. You are responsible for all sales, use, value-added, withholding, and similar taxes and duties, excluding taxes based on our net income. If we are required to collect or pay taxes for which you are responsible, those amounts will be invoiced to you unless you provide a valid exemption certificate.

6.3 Payment terms

Unless otherwise stated on an order form or invoice, invoiced fees are due within thirty (30) days of the invoice date. Late amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law. Except as expressly stated in these Terms or required by law, fees are non-refundable and Verifications are not creditable across terms.

6.4 Renewals

Unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term, the Annual Unlimited Plan automatically renews for successive one-year terms at our then-current pricing. We will provide reasonable advance notice of any price increase applicable to a renewal term.

7. Acceptable use

You agree not to, and not to permit anyone to, use the Services to:

  • Verify any individual without a lawful basis and, where required, the individual's informed consent to the identity and biometric processing involved.
  • Use Verification results to unlawfully discriminate against any person or group, or in any manner that violates anti-discrimination, fair-lending, civil-rights, or consumer-protection laws.
  • Submit data you do not have the right to submit, or that infringes the rights of, or harms, any person.
  • Conduct surveillance, profiling, or tracking of individuals beyond the legitimate identity-verification purpose for which the Services are intended.
  • Reverse engineer, decompile, scrape, or attempt to derive source code, models, or training data from the Services, except to the extent this restriction is prohibited by law.
  • Circumvent usage limits or security features, probe or test the vulnerability of the Services without authorisation, or introduce malware or harmful code.
  • Resell, sublicense, or provide the Services to third parties as a standalone service, or build a competing product using the Services.
  • Use the Services in violation of applicable law, sanctions and export-control regimes, or these Terms.

You are responsible for the conduct of your End Users and personnel in connection with the Services.

8. Customer obligations & compliance

As between you and TrustReview, you are the Controller of Customer Data and are responsible for your own compliance program. In particular, you agree that you will:

  • Establish and maintain a valid legal basis for each Verification, and — where biometric or other special-category data is involved — satisfy the applicable condition under Article 9 of the GDPR/UK GDPR or comparable law.
  • Provide End Users with all required privacy notices and obtain all required consents (including explicit consent for biometric processing where required) before submitting their data to the Services.
  • Own and operate your own KYC/AML compliance program, including your customer due-diligence policies, risk decisions, and any regulatory filings; the Services are decision-support tools that inform — but do not replace — your judgement.
  • Configure and use the Services lawfully, including retention settings appropriate to your obligations, and respond to your End Users' data-subject requests as the Controller.
  • Ensure your use complies with all laws applicable to you and your industry.

You acknowledge that TrustReview does not provide legal, regulatory, or compliance advice, and that you remain solely responsible for determining whether the Services are suitable for your regulatory environment.

9. Data protection

Our processing of Personal Data in connection with the Services is described in our Privacy Policy and governed by our Data Processing Addendum, which is incorporated into these Terms and applies where TrustReview processes Personal Data as a Processor on your behalf. The DPA sets out the parties' respective roles, our security commitments, sub-processor terms, international-transfer mechanisms (including Standard Contractual Clauses), and breach-notification obligations. In the event of a conflict between the DPA and these Terms regarding the processing of Personal Data, the DPA controls. A copy of our standard DPA is available on request to [email protected].

10. Intellectual property

The Services, including all software, models, algorithms, user interfaces, Documentation, and the trademarks "TrustReview" and our logos, are owned by TrustReview and its licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the term for your internal business purposes.

You retain all rights in Customer Data. You grant us a worldwide, non-exclusive licence to host, process, and use Customer Data solely to provide, secure, and support the Services and as permitted by the DPA and our Privacy Policy. We may collect and use aggregated and de-identified data derived from use of the Services (which does not identify you or any End User) to operate, analyse, and improve our products. If you submit feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction.

11. Third-party services & data

The Services rely on third-party providers — including cloud infrastructure and the watchlist, sanctions, and adverse-media data sources used for AML screening. Those providers' data may contain inaccuracies, omissions, or timing gaps outside our control, and the availability of third-party services may affect the Services. We do not control and are not responsible for third-party services or data, and your use of any third-party service you separately integrate is governed by that third party's terms. Screening results are provided for your assessment and must be independently evaluated as part of your compliance program.

12. Service levels & support

For customers on an active Annual Unlimited Plan, we target 99.9% monthly uptime for the core verification APIs, excluding scheduled maintenance (for which we provide reasonable notice) and events outside our reasonable control. We provide email support at [email protected] during business hours, with reasonable-efforts response times. Any service-level credits, if offered, are described in your order form or our then-current service-level commitment and are your sole and exclusive remedy for failure to meet the uptime target. The free tier is provided without any service-level commitment.

13. Disclaimers

The Services are tools for decision support, not a guarantee of identity, eligibility, or compliance. Identity verification, biometric matching, and screening are probabilistic and may produce false positives or false negatives. You are responsible for your own decisions, including whether to approve, reject, or escalate an End User, and for meeting your legal and regulatory obligations.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO TRUSTREVIEW FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$1,000. THESE LIMITATIONS APPLY IN THE AGGREGATE AND DO NOT LIMIT YOUR OBLIGATION TO PAY FEES OR EITHER PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 15. THE FOREGOING ALLOCATIONS OF RISK ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

15. Indemnification

You will defend, indemnify, and hold harmless TrustReview and its affiliates, officers, and employees from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your Customer Data, including the lack of a legal basis or required consent for any Verification; (b) your use of the Services in violation of these Terms or applicable law; (c) your KYC/AML decisions and compliance program; or (d) your alleged unlawful or discriminatory use of Verification results.

We will defend, indemnify, and hold you harmless from third-party claims alleging that the Services, when used as permitted, infringe that third party's intellectual-property rights, except to the extent the claim arises from Customer Data, your modifications, or your combination of the Services with other products. The indemnifying party's obligations are conditioned on prompt notice, sole control of the defence, and reasonable cooperation.

16. Term & termination

These Terms apply from when you first accept them or use the Services and continue until terminated. A paid subscription runs for the term stated on your order form and renews under Section 6.4. Either party may terminate for the other's material breach that remains uncured thirty (30) days after written notice. You may stop using the free tier at any time.

Upon termination or expiry, your right to use the Services ends, and you must cease using them. We will handle Customer Data on termination as described in the DPA (deletion or return, subject to legal retention). Sections relating to fees accrued, intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

17. Suspension

We may suspend or restrict your access to the Services, in whole or in part, if we reasonably determine that: (a) your use poses a security risk or may harm the Services or others; (b) you are in breach of Section 7 (Acceptable Use) or applicable law; (c) your account is involved in fraudulent or unlawful activity; or (d) you have failed to pay undisputed fees when due. Where practicable, we will give notice and an opportunity to cure, but we may act immediately where necessary to protect the Services, our other customers, or third parties. We will restore access promptly once the cause of suspension is resolved.

18. Governing law & disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles, and the parties submit to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute informally by contacting [email protected]. Nothing in this section limits any mandatory rights you may have under the laws of your place of residence.

19. Changes to terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date above and provide reasonable notice (for example, by email or an in-product notice). Changes take effect when posted, or on the effective date stated in the notice. Your continued use of the Services after changes take effect constitutes acceptance. If you do not agree to a change, you must stop using the Services; for paid plans, material adverse changes will not apply to your current term until renewal unless required by law.
